2. Using Our Services

2.1 Account Registration

You own or have the necessary rights to your User Content;
Your User Content does not infringe or violate the rights of any third party;
You have obtained all necessary consents from individuals whose personal information is included in your User Content.

3. Payment Terms

3.1 Subscription Plans

Some of our Services require payment. When you subscribe to a paid plan, you agree to pay all fees applicable to your subscription. Fees are non-refundable except as required by law or as explicitly stated in these Terms.

We may change our fees at any time. If we change our fees, we will provide notice of the change on our website or via email at least 14 days before the change takes effect.

3.2 Billing

We use Stripe as our third-party payment processor. By providing your payment information, you authorize us to charge your payment method for all fees associated with your subscription.

If your payment method fails or your account is past due, we may suspend or terminate your access to the Services.

3.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. If you cancel, you can continue to use the Services until the end of your current billing period, but you will not receive a refund for any fees already paid.

4. Intellectual Property

4.1 Chadform Content

The Services and their content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by Chadform or its licensors and are protected by copyright, trademark, and other intellectual property laws.

These Terms do not grant you any right, title, or interest in the Services or our content, nor any intellectual property rights owned by Chadform or its licensors.

4.2 Feedback

If you provide us with feedback about our Services, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use that feedback for any purpose without compensation or attribution to you.

5. Termination

We may suspend or terminate your access to the Services at any time, without notice, for any reason, including if we believe you have violated these Terms. Upon termination:

Your right to use the Services will immediately cease;
We may delete your User Content and account information without liability to you;
You will remain liable for all amounts due up to and including the date of termination.

6. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL CHADFORM, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

8. Indemnification

You agree to indemnify, defend, and hold harmless Chadform and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

9. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the courts of the Netherlands, and you consent to the personal jurisdiction of such courts.

10. Changes to These Terms

We may revise these Terms from time to time. The most current version will always be posted on our website. If a revision is material, we will provide notice before the new terms take effect. By continuing to access or use our Services after revisions become effective, you agree to be bound by the revised Terms.
